1. SCOPE OF SERVICES
1.1. The Company provides Technical Services, including access to the Payment Gateway, API, Merchant Dashboard, and transaction monitoring tools. 1.2. Important Clarification: The Company operates strictly as a technical service provider. The Company is not a bank, a financial institution, or a payment aggregator. The Company does not own, hold, or manage any funds belonging to the Merchant. 1.3. Settlement and acquiring services are performed by third-party Acquiring Banks or Payment Systems with which the Merchant has entered into separate direct agreements.
2. TECHNICAL INTEGRATION AND SUPPORT
2.1. The Company provides the Merchant with technical documentation (API, SDK) for integration. The Merchant is solely responsible for the correct configuration and implementation on their side. 2.2. Service Level Agreement (SLA): The Company undertakes to ensure Gateway availability at a level of 99.9% per month, excluding scheduled maintenance works.
3. DATA SECURITY AND PCI DSS
3.1. The Company confirms its compliance with the PCI DSS Level 1 standard and undertakes to maintain this certification throughout the term of the agreement. 3.2. The Merchant agrees not to store full bank card data (PAN, CVV) on its servers, unless such storage is permitted by the Merchant's own level of PCI DSS certification. 3.3. Both Parties agree to immediately notify each other of any suspected data compromise or security breaches.
4. RIGHTS AND OBLIGATIONS OF THE MERCHANT
4.1. The Merchant shall use the Gateway only for lawful transactions. 4.2. The Merchant is solely responsible for the content of its website, the quality of goods/services provided, and compliance with the rules of payment systems (Visa/Mastercard Rules). 4.3. The Merchant undertakes to inform the Company of any changes to its business model that may affect the nature of the transmitted traffic.
5. LIMITATION OF LIABILITY
5.1. The Company shall not be held liable for transaction declines by issuing banks or acquiring banks. 5.2. The Company is not responsible for any losses resulting from failures in the operation of internet service providers or telecommunications networks. 5.3. The maximum liability of the Company is limited to the amount of the technical fee (Gateway Fee) paid by the Merchant for a specific [e.g., 1-month or 6-month] period.
6. INTELLECTUAL PROPERTY
6.1. All software, APIs, and interfaces are the exclusive intellectual property of the Company. 6.2. The Merchant is granted a non-exclusive license to use the API solely for the purpose of processing payments under this Agreement.
7. CONFIDENTIALITY AND PERSONAL DATA
7.1. The Company acts as a "Data Processor", and the Merchant acts as a "Data Controller" within the meaning of the GDPR (General Data Protection Regulation).
7.2. Data processing is carried out exclusively for the purpose of transmitting information required to complete the payment transaction.
